Commercial Terms of Service

1. Scope of Agreement

These Commercial Terms of Service govern all business quotations, sample orders, tooling contracts, and mass manufacturing agreements between SHENZHEN XINJINTIAN SPORTS GOODS CO., LTD. ("XJTGOLF" or "the Manufacturer") and purchasing clients ("Buyer" or "Client").

By issuing a formal purchase order (PO), confirming digital artwork proofs, or submitting deposit payments, the Client agrees to be bound by these standardized manufacturing terms.

2. Minimum Order Quantities (MOQ)

To ensure precise machine calibration and economic production efficiency, the following baseline MOQs apply:

• Custom Logo & OEM Golf Balls: 3,000 balls (250 dozen) per construction/colorway.
• Cast Urethane Custom Color / Pearlescent Finish: 6,000 balls per run due to chemical raw material mixing batch volumes.
• Single-Piece Commercial Driving Range Balls (XJT B01): 12,000 balls (1,000 dozen) container shipment tier.
• Specialty LED / Glow in the Dark Balls: 3,000 balls.
• Custom Printed Wooden/Bamboo Tees: 10,000 pieces; Metal Divot Tools / Ball Markers: 1,000 pieces.

3. Sampling & Pre-Production Proofing

• Stock Evaluation Samples: Standard existing inventory samples for compression, weight, and flight evaluation are provided free of charge (courier freight collect via DHL, FedEx, or UPS).
• Custom Printed Pre-Production Samples: Subject to a nominal pad-printing plate and tooling setup fee, which is 100% credited back to the Client upon formal mass production contract placement.
• Sampling Lead Time: Customized physical pre-production samples are completed and dispatched within 5 to 7 business days following digital artwork sign-off.

4. Production Lead Times & Delivery

Standard mass production lead time is 15 to 25 business days for Surlyn® models, and 25 to 35 business days for multi-layer cast urethane tour models, calculated from the receipt of deposit payment and signed pre-production approval.

Lead times are subject to seasonal factory schedules; confirmed delivery milestones are detailed in each formal Proforma Invoice (PI).

5. International Trade Terms (Incoterms 2020)

We routinely support international commercial terms including:

• FOB Shenzhen: Container dispatch via Yantian or Shekou international container terminals.
• CIF Worldwide: Ocean freight and marine insurance arranged to Buyer's designated seaport.
• DDP (Delivered Duty Paid): Turnkey door-to-door delivery with import clearance, tariffs, and inland trucking fully managed to USA, UK, Germany, Australia, Canada, and Japan.

6. Payment Terms

Standard commercial terms for custom OEM production require a 30% advance deposit by Telegraphic Transfer (T/T) upon order confirmation, with the remaining 70% balance due upon completion of pre-shipment quality inspection and provision of container loading photos / Bill of Lading (B/L).

7. Quality Standards & Warranty

All tour-caliber balls are manufactured in strict accordance with USGA and R&A specifications (Maximum Weight: 45.93 g / 1.620 oz; Minimum Diameter: 42.67 mm / 1.680 in).

Any claims regarding manufacturing defects or printing non-conformities must be filed in writing within 30 days of shipment receipt, accompanied by high-resolution photographs or batch inspection reports. Valid verified defects will be promptly replaced or credited in the subsequent order.

8. Governing Law & Arbitration

These terms shall be governed by and construed in accordance with international commercial trade laws and applicable statutory regulations. Any disputes arising shall be resolved through friendly commercial consultation or submitted to the China International Economic and Trade Arbitration Commission (CIETAC) South China Sub-Commission.
